Ambassador programme

Terms and conditions

These terms govern the Xposure ambassador programme, operated by the company identified in the legal notice at xposureapp.net/legal. They apply between us and you from the moment you accept your invitation. They are written to be read rather than skimmed past, and they are short because the arrangement is short. They sit alongside our general terms of service and privacy policy, which continue to apply to any Xposure account you hold.

1. What the arrangement is

We give you a referral link and a discount code. You share them where you think they belong. When somebody you referred pays for a subscription, you earn a share of what they paid.

The arrangement is non-exclusive on both sides. You may promote anything else you like, including our competitors, and we may work with anyone else.

You are an independent party, not our employee, agent, partner, or representative. You have no authority to make commitments on our behalf, and you should not describe yourself as working for or with us beyond being an ambassador. Nothing here creates a joint venture, franchise, or employment relationship.

You must be at least 18 years old, and where you are acting for a business you confirm you are authorised to accept these terms on its behalf.

2. The term of your partnership

Your partnership runs for 12 months from the day you accept your invitation, unless we agreed a different length in writing when you joined. Your dashboard shows the exact end date.

Commission accrues on payments made while your partnership is active. When it ends, accrual stops, including for customers who carry on paying us, and your discount code stops working.

We renew partnerships that are working. A renewal resumes accrual from the renewal date forward; it does not backfill any gap.

3. What you earn

You earn 30% of what a referred customer pays us for their subscription plan, unless a different rate was agreed when you joined. Your rate is shown in your dashboard and recorded on every commission earned under it.

  • It is calculated on the amount paid after the customer's discount and after any taxes we are required to collect, not before.
  • The subscription plan only. Extra storage bought on top of a plan is not included, and neither is what your referrals earn selling photographs to their own clients.
  • Free accounts and trials earn nothing. A paid invoice is what triggers a commission.
  • If we change your rate, the change applies only to commissions earned after we tell you. Commissions already recorded keep the rate they were earned at.

Commission is inclusive of any VAT or equivalent tax. Where the law requires you to invoice us, or requires us to account for tax on the supply, the amount shown in your dashboard is the total we will pay.

4. How a referral is credited to you

Somebody who arrives through your link is credited to you when they create an account, for up to 90 days after they clicked it. Somebody who enters your code at checkout is credited to you whether or not they ever used the link. Either signal is enough on its own.

Where the two point at different ambassadors, the code takes precedence, because entering it is a deliberate act rather than a browser setting.

Attribution depends on a cookie or a code, and neither is perfect. Cleared cookies, blocked scripts, a customer signing up on a different device without your code: any of these can mean a referral is not credited. We record what our systems record, and that record is what we pay on.

  • Referring yourself does not count, and neither does referring an account you own or control.
  • Accounts created to generate commission rather than to use the product do not count, and we may reverse commission earned that way.
  • Where two people could each claim the same referral, our record decides it.

5. The discount your audience gets

Your code gives a new customer 10% off their first 12 months on any paid plan, unless a different figure was agreed when you joined. It applies to the subscription plan and not to extra storage purchased on top of it. Your commission is worked out on that same plan amount, so the discount and the commission cover exactly the same thing.

The code is for new customers. It does not apply to an existing subscription, and it cannot be combined with another offer unless we say so.

We may change what the code offers for customers who have not yet used it, and we will tell you if we do. Discounts already applied to a customer's subscription are unaffected.

6. Holds, reversals and payment

  • Every commission is held for 30 days after the payment that produced it, so the refund window can close. After that it becomes payable.
  • If a payment is refunded or charged back, the commission on it is reversed. If it had already been paid to you, the amount is deducted from your next payout. We will not ask you to send money back.
  • You may request a payout once your payable balance reaches EUR 50. We pay by bank transfer, normally within a few working days of the request.
  • We ask for your payout and tax details when you make your first request. Depending on where you are based you may need to invoice us before we can pay, and we will tell you if that applies.
  • When your partnership ends, we pay out whatever is owed once the holding period has passed, however small, without applying the EUR 50 minimum. You do not lose money by having earned a little of it.

You are responsible for any tax due on what you earn, and for declaring it where you live. We do not withhold tax and we do not give tax advice.

We pay in euros. Any conversion cost or receiving fee charged by your own bank is yours.

7. How you may promote us

  • Do not describe features we do not have, or make claims about pricing, performance or results that we have not published.
  • Do not bid on our brand name or misspellings of it in paid search, and do not use our name in a domain, app name, or social handle.
  • Do not post your link in comment sections, forums, unsolicited email, direct messages, or anywhere it would be unwelcome or against that platform's rules.
  • Do not present yourself as us, or your site as an official Xposure property.
  • Disclose that you earn a commission wherever the law where you or your audience live requires it. Where you are unsure, disclose.
  • Do not use our name or marks in a way that suggests we endorse anything beyond the product itself.

You may use our name, logo and screenshots to talk about the product. That permission lasts as long as your partnership and ends with it. We remain the owner of everything we license to you here, and you remain the owner of what you publish.

8. Your audience's data

You never see who your referrals are. Your dashboard shows counts and amounts, not names or email addresses: they are our customers and their business is theirs.

We process your own personal data as described in our privacy policy. Where you send us other people's personal data, you are responsible for having been allowed to.

9. Ending the partnership

Either of us may end the partnership at any time, for any reason, by telling the other. No notice period applies.

If we end it, we pay out everything already earned and past its holding period. If we end it because of something in section 4 or section 7, we may withhold commission connected to that conduct, and we will tell you which commissions and why.

Sections 6, 8, 10 and 11 survive the end of the partnership.

10. Liability

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

Subject to that, neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability to you in connection with the programme is limited to the commission we paid you in the 12 months before the claim.

We do not promise any particular level of earnings, traffic, or conversion. The programme is offered as it is.

11. Changes, transfer, and law

We may change these terms. Changes apply to commissions earned after we tell you about them and never retroactively. Your rate and the length of an active partnership will not be changed without your agreement. If you do not accept a change, you may end the partnership and be paid what you have earned.

You may not transfer your partnership, your link, or your code to anybody else. We may transfer these terms as part of a sale or reorganisation of our business.

These terms are governed by Belgian law, and the courts of Belgium have exclusive jurisdiction over any dispute arising from them. If any part of these terms is unenforceable, the rest continues to apply.

Together with the details recorded in your dashboard, these terms are the whole of the arrangement between us regarding the programme.
